These Terms of Service (“Terms”) are a binding legal agreement between you and Adstralia, governing your access to and use of the websites, applications, and other services provided by Adstralia (collectively, the “Adstralia Platform” or “Platform”). In these Terms, “Adstralia,” “we,” “us,” or “our” refers to the Adstralia entity with which you are entering into this agreement.
The Adstralia Platform provides an online venue that enables users (“Members”) to connect, publish, discover, purchase, and exchange advertising-related creative works and services. Members who publish and offer works are “Creators,” and Members who search for, or purchase those works are “Buyers.”
Creators are further classified as:
- Members publishing Content independently, with ownership of their own work (“Individual Creators”).
- Members publishing Content on behalf of a brand or agency, where ownership may belong to the brand or agency (“Brand Creators”).
Creators may upload original content such as advertising concepts, spec ads (also called speculative advertising), scripts, visuals, or related creative material (“Creator Content” or “Content”), which can be made available for Buyers to license and purchase. These activities are referred to as “Member Services.” As the provider of the Adstralia Platform, Adstralia does not own, control, create, or manage Creator Content, or Buyer projects. Adstralia is not a party to contracts entered into directly between Creators and Buyers, nor does Adstralia operate as an advertising agency, talent agent, or employer of Creators. Except as expressly provided in the sections Payments to Creators and Payments and Fees (collectively, the “Payment Terms”), Adstralia does not act as an agent in any capacity for any Member.

Creators Terms
1. Uploading Content on Adstralia.
1.1 Eligibility to Upload.
As a Creator, Adstralia offers you the right to use the Adstralia Platform in accordance with these Terms to share your Content with our community of Creators and Buyers—whether to inspire or to sell. It's easy to upload your Content and you are in control of what you upload and how you upload it: set your own price or simply share your Content, subject to any applicable fees and rules of the Adstralia Platform.
To post Content on the Adstralia Platform, you must be at least 18 years old (or the age of majority in your jurisdiction) and capable of entering into binding agreements. By posting Content, you confirm that you meet these requirements.
1.2 Uploading Content.
The Adstralia Platform provides tools that make it easy for you to set up and upload your Content. Your Content must include complete and accurate information and your price (including any additional fees) in case of selling it. When uploading your Content to Adstralia, you control how it is presented to Members. Once submitted, your Content will remain published until you decide to remove it, unless it violates our policies, applicable law, or these Terms. By uploading Content, you represent and warrant that you have all necessary rights, licenses, and permissions to publish and sell such Content on the Adstralia Platform.
1.3 Types of Content Allowed.
Creators may upload advertising-related creative Content, including concepts, spec ads (also called speculative advertising), scripts, visuals, and other original material. All Content must comply with applicable laws and Adstralia's Platform Rules (see Section 9).
1.4 Prohibited Content.
As part of the community, and for the safety and growth of our community, you may not post Content that:
- Infringes intellectual property rights of others.
- Contains illegal, offensive, discriminatory, or harmful material.
- Misleads, deceives, or constitutes spam, scams, or fraudulent activity.
- Violates Adstralia's rules on quality, safety, or user experience.
1.5 Accuracy and Ownership.
By posting Content, you confirm that you own or hold the necessary rights to use, license, and share the Content on Adstralia. If you post speculative advertising Content, you confirm that such use complies with applicable law. You are also responsible for ensuring the accuracy, legality, and truthfulness of any claims made in your Content.
Brand Creators confirm that they have the necessary authorization from the brand or agency to upload, license, or sell the Content.
If you include trademarks, products, or brand-related material in your Creator Content, you confirm that you have the right to do so and that such use complies with applicable law. Adstralia does not verify such rights and is not responsible for misuse.
1.6 Platform Rights.
By uploading Content to the Adstralia Platform, you grant Adstralia a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, distribute, modify (for formatting/display purposes only), publicly perform, publicly display, and promote such Content in connection with operating, marketing, and improving the Platform. This license does not affect your ownership rights, and it terminates when you remove your Content from the Platform, except for uses already made prior to removal (e.g., in past promotional materials).
Your relationship with Adstralia is that of an independent individual or entity, not an employee, agent, joint venturer, or partner of Adstralia. Adstralia does not direct or control your Content. You have complete discretion as to whether, when, and how to provide work, and at what price and on what terms to offer it.
2. Managing Your Content.
2.1 Editing and Updating.
At this stage, Adstralia does not allow creators to edit or update Content after it has been published. If you wish to change or improve your Content, you must delete it and upload a new version. We may introduce editing or updating options in the future.
2.2 Removal.
As the Creator, you can remove your Content at any time. Once removed, it will no longer be visible to Members, although copies may persist in backups for a limited period in accordance with our Privacy Policy.
Adstralia reserves the right to remove, disable access to, or restrict visibility of any Content that does not comply with applicable laws, these Terms, or Adstralia's Platform Rules (see Section 9), or where Adstralia reasonably believes it may cause harm to Members, or the integrity of the Platform.
2.3 Visibility and Promotion.
The Adstralia Platform may, at its sole discretion, promote or highlight certain Content (for example, in featured sections, recommendations, search results, or communications with Members). Such promotion does not affect your ownership rights but may involve adapting your Content for display or formatting purposes (e.g., cropping thumbnails, adjusting resolution).
2.4 Accuracy and Responsibility.
You are responsible for your own acts and omissions and are also responsible for the acts and omissions of anyone you allow to participate in providing your Content. You are responsible for setting your Content with accurate information.
You may not collect any fees or charges outside the Adstralia Platform. You agree that Adstralia is not responsible for and does not guarantee the accuracy, quality, safety, legality, or fitness for purpose of any Content uploaded by Creators.
3. License and Intellectual Property.
3.1 Ownership of Content.
All Content uploaded to the Adstralia Platform by Creators is initially owned by the Creator. Individual Creators retain all intellectual property rights in their Content. Brand Creators' Content may be owned by the brand or agency; the uploading Member confirms they have authorization to grant such licenses as described in Uploading Content on Adstralia (Section 1).
By uploading Content, you grant Adstralia and Buyers only the rights expressly set out in these Terms, without transferring ownership, except as described under Transfer of Rights (Section 3.2) and Platform Rights (Section 1.6).
3.2 Transfer of Rights to Buyers.
When a Buyer purchases your Content through the Adstralia Platform, you transfer and assign all rights, title, and interest in the purchased Content to the Buyer. From the moment of purchase, the Buyer becomes the sole owner of the Content and may use, reproduce, modify, or otherwise exploit it without restriction. Once the transfer is complete, you, as the Creator, no longer retain any rights to the purchased Content. This constitutes a complete one-time sale of the Content.
3.3 Rights Reserved by Creators.
Except as expressly transferred under Section 3.2, Creators retain all rights, title, and interest in any other Content they upload to the Platform that has not been purchased. Buyers and Adstralia may only use Content in accordance with the licenses or rights granted.
3.4 Prohibited Uses of Content by Members.
For the safety and integrity of the community, Members that have not purchased the Content may not:
- Claim authorship or misrepresent the origin of the Content;
- Use Content in ways that violate applicable law or infringe the rights of others.
3.5 Attribution and Moral Rights.
Creators retain moral rights for Content that has not been sold, including the right to be identified as the author and to object to derogatory treatment of the Content. Adstralia and Members must respect these rights for unsold Content. After a transfer under Section 3.2, moral rights for the purchased Content are fully transferred to the Buyer.
3.6 Intellectual Property Infringement and Reporting.
If a Member believes that Content uploaded to the Platform infringes their intellectual property rights, they must notify Adstralia promptly. Adstralia may remove or restrict access to Content pending investigation. Creators must cooperate with Adstralia to resolve IP disputes and may be responsible for indemnifying Adstralia if they upload Content that violates intellectual property laws.
3.7 Warranty and Representation.
By uploading Content, Creators represent and warrant that they own or have all necessary rights to upload, license, and sell the Content. Creators are responsible for any claims arising from the Content they upload.
4. Taxes and Compliance
4.1 Creator Responsibility.
As a Creator, you are solely responsible for reporting your income and fulfilling your tax obligations under applicable law. Adstralia does not provide tax advice and is not responsible for withholding or remitting taxes on your behalf. You must comply with all local laws regarding income, VAT, or other taxes arising from your sales on the Platform.
4.2 Payments to Creators.
All payments on the Adstralia Platform are processed securely through Stripe. Stripe provides Adstralia with the necessary information to display payout reports directly within the Platform. To receive payouts, you must complete Stripe's onboarding process and, where required, verify your identity through the Stripe Express Dashboard. You agree to comply with Stripe's Connected Account Agreement, which incorporates the Stripe Services Agreement, for all transactions conducted through the Platform. For additional details about payments, please see Section 10.
4.3 Compliance with Laws.
You agree to comply with all applicable laws and regulations when offering or purchasing Content on the Adstralia Platform, including, without limitation, intellectual property, privacy, export, and tax laws.
Buyer Terms
5. Searching and Buying on Adstralia.
5.1 Searching.
You can search for Member Services by using criteria such as the type of Member Service or industry. Search results are based on their relevance to your search and other criteria. The Adstralia Platform may also provide filters, sorting options, or personalized recommendations to help refine your search results.
5.2 Buying.
When you buy Content, you agree to pay the full amount displayed at checkout, including Adstralia's service fee, applicable taxes, and any other amounts identified at checkout (collectively, the “Total Price”). If you choose to pay in a currency that differs from the Creator's set currency, the price displayed will be based on a currency conversion rate determined by Stripe. Once you receive a purchase confirmation, a contract for Member Services (a “Transaction”) is formed directly between you and the Creator. In addition to these Terms, you are responsible for complying with all terms of the Transaction, including, without limitation, the transfer of rights policy and any rules, standards, or requirements identified in the Content or during checkout. It is your responsibility to read and understand these requirements before purchasing Content.
5.3 Access and Delivery.
Upon successful purchase, you will gain access to the Content in accordance with the rights transferred under Section 3.2. Adstralia facilitates access and delivery of Content through the Platform but does not create, control, or modify the Content. Adstralia does not guarantee the quality, accuracy, or fitness of the Content for your intended purpose. Any issues should be addressed directly with the Creator, subject to Adstralia's dispute resolution process (see Section 15).
6. Cancellations, Transaction Issues, and Refunds
6.1 General Rule.
All transactions on Adstralia are considered final. Once a Buyer purchases Content, the transaction cannot be reversed unless it qualifies under the specific refund conditions described below. For any matter related to cancellations, transaction issues, or refunds, you may contact billing@adstralia.com. Adstralia reserves the right to make the final determination on all refund and cancellation requests.
6.2 Refund Eligibility.
A Buyer may request a refund if:
- The purchased Content was not delivered or is technically inaccessible.
- The Content is materially different from the description provided at the time of purchase.
- There was a clear error in the transaction (e.g., duplicate charges).

Refund requests must be submitted within 14 days of the purchase date.
6.3 Refund Process.
All refund requests must be submitted to billing@adstralia.com. Each request will be internally reviewed and evaluated by Adstralia. Buyers may appeal Adstralia's decision regarding a refund. If a refund is approved, it will be processed through the same payment method originally used for the transaction.
6.4 Cancellations by Creators.
After a successful purchase, Creators cannot revoke or cancel the transaction. The Buyer retains all rights to use the purchased Content as described in Section 3.2.
Creators may still remove the Content from their profile at any time. Removing the Content from their account does not affect the Buyer's rights to use the Content. The Content may remain visible on the Creator's profile as part of their work, but the Creator may not sell it again or use outside the Adstralia Platform.
General Terms
7. Eligibility and Member Accounts.
You must register an account to access and use many features of the Adstralia Platform. Registration is only permitted for legal entities, partnerships, or natural persons who are 18 years or older. You represent and warrant that you are not prohibited from using the Adstralia Platform under applicable laws in your jurisdiction of residence or any other relevant jurisdiction.
You must provide accurate, current, and complete information during registration and keep your account information up-to-date. You may not transfer your account to another person. You are responsible for maintaining the confidentiality and security of your account credentials and may not disclose them to any third party. You must immediately notify Adstralia if you suspect that your credentials have been lost, stolen, or your account is otherwise compromised. You are responsible and liable for all activities conducted through your Adstralia account, except for unauthorized activity that you promptly report.
If and as permitted by applicable law, Adstralia may, but is not obligated to verify your identity or background to help maintain platform security and compliance.
8. Adstralia's Role.
We offer you the right to use a platform that enables Members to publish, share, search for, and buy or sell advertising-related creative Content. When Members purchase or sell Content, they are entering into a contract directly with each other. Adstralia is not and does not become a party to any contractual relationship between Members. Adstralia is not acting as an agent for any Member except for where Adstralia Payments (through Stripe) acts as a collection agent as provided in the Payments Terms.
While we work to provide a safe and functional experience, we do not and cannot control the conduct or performance of Creators or Buyers, and we do not guarantee:
- The existence, quality, safety, suitability, or legality of any Content; or
- The truth, accuracy, or reliability of any Content descriptions, representations, or other information provided by Members.
You acknowledge that Adstralia has the right to review, monitor, remove, or restrict access to Content or other Member communications to: (i) operate, secure, and improve the Adstralia Platform (including for fraud prevention, risk assessment, investigation, and support purposes); (ii) ensure Members' compliance with these Terms; (iii) comply with applicable law or legal orders; (iv) address Content or behavior that we determine is harmful, objectionable, or violates platform rules; (v) take any actions set out in these Terms; and (vi) maintain and enforce quality or eligibility criteria, including by removing Content that doesn't meet platform standards.
Where we remove or restrict Content, we will notify the affected Member and provide reasons unless such notification would:
- Prevent or impede the detection or prevention of fraud or illegal activity;
- Harm the legitimate interests of other Members or third parties; or
- Contravene applicable law.
9. Adstralia Platform Rules.
9.1 Rules.
You must follow these rules and must not help or induce others to break or circumvent them. All activity on the Platform must comply with applicable laws, these Terms, and any additional rules communicated by Adstralia. You may not use the Platform for illegal, harmful, or unauthorized purposes.
- Act with integrity and treat others with respect.
- Use the Platform in a way that supports collaboration and fairness.
- Avoid scraping, hacking, reverse engineering, or impairing the Adstralia Platform.
- Respect Adstralia's fee structure and payment systems—circumventing them is not allowed.
- Only use the Adstralia Platform as authorized by these Terms or another agreement with us.
- Respect the intellectual property and privacy rights of others.
- Be truthful—avoid fraud, scams, impersonation, or misrepresentation.
- Share only content that is lawful, respectful, and safe for the community.
- Use the Platform in a way that doesn’t interfere with its operation or other Members’ experiences.
- Honor your legal obligations.
- Comply with all applicable laws, regulations, and third-party rights.
9.2 Reporting Violations.
If you become aware of content or activity that violates these rules or the Terms, you must promptly report it to Adstralia atsupport@adstralia.com. Adstralia will review reports and may take appropriate action, including removing Content, restricting access, or suspending accounts.
9.3 Enforcement.
Adstralia reserves the right to take any action it deems necessary to enforce these rules, including but not limited to:
- Removing or restricting Content;
- Suspending or terminating accounts;
- Reporting illegal activity to law enforcement or other authorities.
10. Payment and Fees.
10.1 Payments.
All payments on the Adstralia Platform are processed securely through Stripe. You agree to comply with Stripe's Connected Account Agreement, which incorporates the Stripe Services Agreement, for all transactions conducted through the Platform. You can access receipts, reports, and payout information directly within your Adstralia account. Unless otherwise stated, all amounts are denominated and payable in your geopolitical currency.
10.2 Fees.
To help Adstralia operate and maintain the Platform, we may charge fees (and applicable Taxes) to Creators and Buyers for using the Adstralia Platform. Any applicable fees are disclosed to Creators before uploading Content for sale and to Buyers before making a purchase. Unless otherwise stated, service fees are non-refundable.
Adstralia uses a split-fee structure, with fees divided between the Creator and the Buyer as part of each Transaction.
10.3 Payouts.
Creators are eligible to receive payouts after the successful completion of Transactions, subject to applicable service fees and Stripe's processing terms. Payouts are scheduled weekly and will begin one week after a Creator's first sale. Adstralia is not responsible for delays caused by third-party payment processors.
Adstralia reserves the right to withhold or delay payouts if we reasonably believe that a Transaction is fraudulent, subject to a chargeback, violates these Terms, or otherwise poses a financial or legal risk to Adstralia, Stripe, or other Members. Payouts will be released once the issue is resolved or risk has been mitigated.
11. Content and Intellectual Property.
11.1 Creators' Content Rights.
Creators retain ownership of all intellectual property rights in the Content they upload to the Adstralia Platform, except as otherwise transferred to Buyers under Section 3.2. By uploading Content, Creators grant Adstralia a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, distribute, display, and promote such Content solely to operate, market, and improve the Adstralia Platform, in accordance with Section 1.6.
11.2 Brands' Content Rights.
Brand Creators may upload Content owned by their brand or agency. The uploading Member confirms they have authorization to grant licenses and that the Content complies with applicable law and Adstralia's Platform Rules. Ownership remains with the brand unless transferred to a Buyer under the Adstralia Platform transaction rules.
11.3 Adstralia's Intellectual Property Rights.
All trademarks, logos, service marks, trade dress, domain names, and other branding elements of Adstralia (collectively, “Adstralia IP”) are the exclusive property of Adstralia. Platform Content — including design, text, graphics, software, and other materials — is also protected by intellectual property laws.
Members may view, access, or download Platform Content only for personal, non-commercial use in connection with the Adstralia Platform. Creators may also use Adstralia IP solely for the purpose of creating Content on the Platform, including Content that may be offered for sale to Adstralia. Any other use of Adstralia IP or Platform Content is strictly prohibited without prior written consent.
12. Feedback.
12.1 Submitting Feedback.
Members may provide feedback, suggestions, or ideas regarding the Adstralia Platform, including improvements, features, or Content (“Feedback”). By submitting Feedback to info@adstralia.com, you grant Adstralia a worldwide, perpetual, royalty-free, transferable, and sublicensable license to use, reproduce, distribute, display, perform, modify, and incorporate such Feedback into the Platform or related products without any obligation or compensation to you.
12.2 No Confidentiality.
Feedback is not confidential. You acknowledge that you should not submit any proprietary or confidential information as part of your Feedback, as Adstralia is under no obligation to treat it as confidential.
12.3 Rights Reserved.
Adstralia is under no obligation to implement, review, or respond to Feedback. Any Feedback submitted may be used by Adstralia in any manner without giving credit or compensation to the submitting Member.
13. Termination, Suspension and Other Measures.
13.1 Term.
The agreement between you and Adstralia reflected by these Terms remains in effect until either you or we terminate the agreement in accordance with these Terms.
13.2 Termination.
You may terminate this agreement at any time by sending us an email to support@adstralia.com or by deleting your account. Adstralia may terminate your account or access to the Adstralia Platform for any reason by providing 30 days' notice via the email associated with your account. Adstralia may also terminate your account immediately and without prior notice if: (i) you materially breach these Terms; (ii) you violate applicable laws or regulations; (iii) immediate action is necessary to protect the safety or property of Adstralia, its Members, or third parties (e.g., in cases of fraud); or (iv) your account has been inactive for more than two years.
13.3 Platform Changes.
Adstralia may modify or discontinue features of the Platform, including the types of Content allowed, for any reason, such as to improve services, prevent abuse, or respond to legal requirements. If material changes affect core features, we will provide 30 days’ notice unless immediate action is required to prevent abuse or comply with the law.
13.4 Member Violations.
If you (i) breach these Terms or any other rules or policies set by Adstralia, (ii) upload or share Content that is illegal or violates rights, (iii) repeatedly fail to fulfill obligations related to Transactions, or (iv) act in a manner that endangers the safety or property of Adstralia, its Members, or third parties,
Adstralia may:
- suspend or limit your access to the Platform;
- remove, restrict, or disable access to your Content;
- cancel pending Transactions; or
- revoke any special status associated with your account.
For non-critical violations, Adstralia may provide notice and a chance to resolve the issue unless notifying would:
- prevent or impede fraud or illegal activity detection;
- harm legitimate interests of Members or third parties; or
- contravene applicable laws.
13.5 Legal Mandates.
Adstralia may take any measures necessary to comply with applicable law, legal orders, or requests from courts, law enforcement, or other authorities, including those described above.
13.6 Effect of Termination.
Upon termination, you will lose access to your Adstralia account and any Content not purchased or transferred. You may not register a new account or access the Platform using another Member's account. Termination does not release you from obligations incurred prior to termination, including payment of fees or compliance with these Terms.
14. Liability and Disclaimers.
14.1 Disclaimers.
Adstralia provides a platform that enables Members to share, buy, and sell advertising-related creative Content. While we aim to provide a safe and functional experience, we do not guarantee:
- The existence, quality, safety, legality, or suitability of any Content, Creator, or Buyer;
- That any verification, identity checks, or other processes conducted by Adstralia will identify past misconduct or prevent future issues;
- The accuracy, truthfulness, or reliability of any Content descriptions or representations provided by Members;
- Uninterrupted access to the Platform or its features, or that the Platform will be free from errors, bugs, or downtime caused by third-party services, technical issues, or events beyond our control.
14.2 Limitation of Liability.
To the maximum extent permitted by applicable law, Adstralia, its affiliates, employees, agents, and representatives are not liable for any damages arising from:
- Direct, indirect, incidental, special, or consequential damages;
- Loss of revenue, profits, data, or business opportunities;
- Any use, inability to use, or reliance on Content or Member communications.
14.3 Exceptions to Limitation.
Adstralia remains fully liable without limitation for:
- Damages arising from injury to life, limb, or health caused by Adstralia's negligence or intentional misconduct;
- Other damages caused by Adstralia's intentional or grossly negligent breach of duty.
14.4 Essential Obligations.
For damages arising from breaches of essential contractual obligations due to simple negligence, Adstralia's liability is limited to the foreseeable and typical damages resulting from the breach. Essential contractual obligations are those duties that are fundamental for the proper execution of the contract and on which Members regularly rely.
14.5 Application.
The limitations and exclusions of liability in this Section 14 apply to all employees, legal representatives, agents, and affiliates of Adstralia.
15. Dispute Resolution and Governing Law.
15.1 Informal Resolution.
Before initiating any formal dispute, Members agree to contact Adstralia at support@adstralia.com to attempt an informal resolution. Members should provide a clear description of the dispute, relevant transaction details, and requested resolution. Adstralia will review and respond in good faith within a reasonable time.
15.2 Arbitration for B2B Disputes.
For disputes between Adstralia and Members acting in a professional or business capacity (B2B), Members agree that such disputes shall be resolved by binding arbitration conducted in Portugal, in accordance with the rules of a mutually agreed Portuguese arbitration forum. Arbitration decisions shall be final and binding on both parties.
15.3 Court Resolution for Consumer Members.
For disputes involving Members acting as consumers under EU or Portuguese law (B2C), nothing in this Section limits rights under mandatory consumer protection regulations. Disputes with consumers may be brought before competent courts in Portugal.
15.4 Scope of Disputes.
This Section 15 applies to disputes arising from or relating to:
- The interpretation, breach, termination, or validity of these Terms;
- Transactions or Content on the Adstralia Platform;
- Use of the Adstralia Platform or related services;
- Any claims of intellectual property infringement, fraud, misrepresentation, or other legal claims related to platform activities.
15.5 Governing Law.
These Terms and any disputes arising under or in connection with them shall be governed by and construed in accordance with the laws of Portugal, without regard to conflict of law principles.
15.6 Limitation of Claims.
Unless otherwise required by applicable law, Members must bring any claim related to the Adstralia Platform or these Terms within two (2) years from the date the cause of action arose. Claims not brought within this period are barred.
15.7 Survival.
Sections of these Terms that by their nature should survive termination—including but not limited to Sections 11 (Content and Intellectual Property), 14 (Liability and Disclaimers), and this Section 15—will continue to apply even if a Member stops using the Platform or their account is terminated.
16. Privacy and Data Protection.
16.1 Access to Data.
Members have access to personal and other data in their Adstralia account and dashboard, which is provided by the Member or generated through their use of the Adstralia Platform. This data may include:
- Account information (name, email, profile details);
- Content uploaded or purchased;
- Transaction and payment information;
- Usage data and analytics related to platform activity.
16.2 Use and Processing of Data.
Adstralia uses personal and other data to operate and improve the Platform, facilitate transactions, provide support, and comply with legal obligations. Adstralia may also aggregate and anonymize data to generate insights about platform activity.
16.3 Your Rights.
Members may access, correct, or request deletion of their personal data in accordance with applicable law. For more information on how Adstralia collects, uses, processes, and protects your data, and to exercise your data rights, please refer to our Privacy Policy.
17. Modifications to these Terms.
When we propose changes to these Terms, we will post the revised Terms on the Adstralia Platform and update the “Last Updated” date at the top of these Terms. We will provide you with notice of the proposed changes via email, in-platform notifications, or any other contact method you have provided, at least thirty (30) days before the changes become effective.
If the proposed changes are material, you will be asked to explicitly accept the revised Terms. Such notice will also inform you about your right to reject the changes, the timeframe to do so, and your right to terminate the Agreement at any time before the effective date.
For non-material changes that do not affect essential provisions, or for changes required by law, court order, or competent authority, your continued use of the Adstralia Platform after the effective date will constitute acceptance of the revised Terms.
18. Miscellaneous.
18.1 Interpreting these Terms.
Except as supplemented by additional terms, conditions, policies, guidelines, standards, and in-product disclosures, these Terms constitute the entire agreement between Adstralia and you regarding your access to or use of the Adstralia Platform and supersede any prior oral or written understandings or agreements. These Terms do not confer any rights or remedies upon anyone other than you and Adstralia. If any provision of these Terms is held to be invalid or unenforceable, such provision will be struck and will not affect the validity and enforceability of the remaining provisions.
18.2 No Waiver.
Adstralia's failure to enforce any right or provision in these Terms does not constitute a waiver of such right or provision unless acknowledged and agreed to by us in writing. The exercise by either party of any of its remedies under these Terms will be without prejudice to its other remedies under these Terms or otherwise permitted by law.
18.3 Assignment.
You may not assign, transfer, or delegate this agreement or your rights and obligations without Adstralia's prior written consent. Adstralia may assign, transfer, or delegate this agreement or any rights and obligations at its sole discretion. Your right to terminate this agreement under Section 13 remains unaffected.
18.4 Notices.
Unless specified otherwise, any notices or communications to Members under this agreement will be provided electronically and delivered by Adstralia via email, Platform notification, or other contact methods you provide.
18.5 Third-Party Services.
The Adstralia Platform may contain links to third-party websites, applications, services, or resources (“Third-Party Services”) that are subject to separate terms and privacy practices. Adstralia is not responsible or liable for any aspect of such Third-Party Services, and links to them are not endorsements.
18.6 Platform Content and Intellectual Property.
Content provided by Adstralia on the Platform, including design, text, graphics, software, and other materials, is protected by intellectual property laws. You may view, access, or download Platform Content only for personal, non-commercial use and to create Content for sale on Adstralia Platform if authorized. Any unauthorized use is strictly prohibited. All trademarks, logos, service marks, and branding elements of Adstralia are the exclusive property of Adstralia and may not be used without prior written consent.
18.7 Force Majeure.
Adstralia shall not be liable for any delay or failure to perform resulting from circumstances beyond its reasonable control, including, but not limited to, acts of God, war, terrorism, riots, acts of civil or military authorities, fire, floods, accidents, pandemics, epidemics, or strikes.
18.8 Emails and Communications.
You will receive administrative communications from Adstralia using the email address or contact information you provide. You may also receive promotional emails, which you can manage via your account settings. Certain communications may be necessary for Platform use regardless of promotional preferences.
